Notice of Annual General Meeting of the Company’s Shareholders
Energix – Renewable Energies Ltd. (the “Company”) hereby announces the convening of the Annual General Meeting of the Company’s shareholders (the “Meeting”), which will be held on Sunday, May 5, 2024, at 15:00, at the Company’s offices at 2 Jabotinsky Street, Ramat Gan, Israel, with the following agenda:
- Discussion of the Company’s financial statements and the Board of Directors’ report for the year ended December 31, 2023.
- Reappointment of the Company’s external auditor and receipt of a report regarding the auditor’s remuneration.
- Reappointment of the directors serving as of the date of the notice of the Meeting, who are not external directors, for an additional term as directors of the Company: Mr. Nathan Hetz, Mr. Aviram Wertheim, Mr. Oren Frenkel, Mr. Meir Shani, and Ms. Orna Hozman Bechor (the latter two serving as independent directors).
- Approval of amendments to the Company’s compensation policy.
The record date for determining the eligibility of shareholders to vote at the Meeting is Sunday, April 7, 2024.
The deadline for submitting voting instruments to the Company is up to 4 hours prior to the time of the Meeting for beneficial (non-registered) shareholders, and no later than 6 hours prior to the time of the Meeting for registered shareholders. The deadline for voting via the electronic voting system is up to 6 hours prior to the time of the Meeting. The deadline for submitting position statements to the Company is up to 10 days prior to the time of the Meeting.
If a quorum is not present within half an hour from the time set for the Meeting, the Meeting shall be adjourned to the same day in the following week, at the same time and place (i.e., Sunday, May 12, 2024, at 15:00).
